Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the Alcott, Inc. services, including visit.alcottai.com, medipen.alcottai.com, and the Provider Search GPT (together, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Alcott, Inc. ("Alcott," "we," "our," or "us") provides tools to help you organize health information and prepare for medical visits. The Services are not medical devices and do not provide medical advice, diagnosis, or treatment.

Eligibility and Accounts

You must be at least 13 years old to create an account or use the Services. If you are between 13 and 17, you may only use the Services under the supervision of a parent or guardian who agrees to these Terms on your behalf.

Children under 13 may not create accounts or use the Services directly. Parents and guardians may use their own accounts to manage information for dependents using our "On Behalf Of" feature.

You are responsible for keeping your login secure and for what happens in your account. If something fishy happens, let us know right away.

👉 Translation: You need to be 13+ to use Alcott directly. Parents can manage info for younger kids. Don't let your little cousin guess your password, and if they do, tell us.

Services Description

Alcott provides tools to help you prepare for and manage healthcare visits:

​

  • Visit Preparation: AI-guided conversations to help you organize symptoms, questions, and health concerns before appointments.

  • Medical Record Upload: Upload and view your medical documents (lab results, medical notes, PDFs) and chat with our AI about them.

  • Scribe: Record your medical visits and receive AI-generated transcripts and summaries. Audio is deleted immediately after transcription. See Scribe Recording Consent section below.

  • Provider Sharing: Share visit summaries with your healthcare providers.

  • On Behalf Of: Complete visits on behalf of family members (children or elderly relatives) as a caregiver.

  • Provider Search GPT: Search for healthcare providers by specialty, location, and insurance. Hosted on OpenAI's platform.

👉 Translation: We help you prep for doctor visits, understand your records, and record appointments for summaries.

Scribe Recording Consent

When you use the Scribe feature to record a medical visit, you acknowledge and agree that:

  • You are responsible for complying with all applicable federal, state, and local laws regarding recording consent in your jurisdiction

  • Some states require all-party consent before recording conversations

  • You will inform your healthcare provider before recording

  • Alcott is not responsible for any legal consequences arising from recordings made without proper consent

Before each recording, you will see a reminder to inform your provider with suggested language. By proceeding with the recording, you confirm you have obtained any required consent.

👉 Translation: Let your doctor know you're recording. Different states have different rules — it's on you to follow them.

License to Use the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You may not reverse engineer, copy, or create derivative works from the Services.

👉 Translation: Use Alcott to prep for your doctor visits, but don't sell it on eBay, clone it, or turn it into your side hustle.

Export Controls and Restricted Use

You may not use the Services in violation of U.S. export laws or in countries subject to U.S. sanctions. The Services are intended for use within the United States.

👉 Translation: Don't use Alcott if you're somewhere the U.S. government says we can't do business.

User Content and Ownership

You own the health data and files you upload to Alcott. Alcott owns the software, algorithms, and AI-generated summaries produced by the Services. We grant you a personal license to use and share those summaries for your own healthcare and organizational purposes.

👉 Translation: Your files are yours. The summaries our AI generates are ours — but you get full personal use of them.

Intellectual Property

If you believe content in the Services infringes your intellectual property rights, contact us at legal@alcottai.com with details of the alleged infringement.

👉 Translation: If you think we're using your stuff without permission, let us know and we'll look into it.

Provider Search GPT

The Provider Search GPT is hosted on OpenAI's platform. Queries you enter (such as provider names, specialties, or insurance information) are processed by OpenAI to generate results. Alcott does not access, store, or retain GPT conversations.​

👉 Translation: Ask the GPT to find doctors, but remember — OpenAI does the processing, not us.

Healthcare Disclaimer

The Services are for informational and organizational purposes only. They do not provide medical advice, diagnosis, or treatment. You should always consult a qualified healthcare professional for medical questions or decisions. The Services are not intended for emergencies. If you believe you are experiencing a medical emergency, call 911 immediately.

👉 Translation: We're your digital clipboard, not your doctor. If it's an emergency, don't chat with Alcott — call 911.

Fees and Payment

Patients: The Service is currently free for patients. We will provide notice before implementing any charges.

 

Healthcare Providers: Providers subscribe to Alcott under separate pricing terms. Payment is processed through Stripe. You may cancel at any time, but fees are non-refundable. For annual subscriptions, you retain access through the end of your prepaid term but no pro-rated refunds are provided.

Termination

You may close your account at any time by contacting legal@alcottai.com. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, used the Services unlawfully, or for any other reason. Upon termination, your right to use the Services ends immediately, and we will handle your data according to our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by law, Alcott will not be liable for any indirect, incidental, or consequential damages, including lost profits, health outcomes, or data loss. Our total liability to you for any claim will not exceed the amount you paid to us in the 12 months prior to the claim.

You acknowledge that Alcott shall not be responsible for any harm, injury, or medical complications arising from your reliance on the Service without consulting a qualified healthcare professional.

👉 Translation: If something goes sideways, you can't send us the bill. Always talk to your doctor.

Indemnification

You agree to indemnify Alcott from claims arising out of your violation of these Terms or unlawful use of the Services.

👉 Translation: If you do something shady and it causes problems, that one's on you.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration administered by the American Arbitration Association. Both parties waive the right to a jury trial and to participate in a class action.

👉 Translation:  If we have a legal fight, it'll be under Delaware law, handled through arbitration, not a big class action lawsuit.

Changes to Service and Terms

We may update, modify, or discontinue the Services at any time. If we make material changes to these Terms, we will provide notice, such as by updating the "Last Updated" date or posting a notice in the app.​

👉 Translation: Things change. If they do, we'll let you know.

General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alcott regarding your use of the Services. If any part of these Terms is held invalid, the remaining sections will remain in effect. Our failure to enforce any right under these Terms does not waive it.​

Appendix A: Business Associate Agreement

This Business Associate Agreement ("BAA") applies to healthcare providers ("Covered Entity") who use Alcott services, including visit preparation tools (visit.alcottai.com) and document processing tools (medipen.alcottai.com), in connection with patient care

1. Definitions

Terms used but not defined in this BAA have the meanings set forth in HIPAA (45 CFR Parts 160 and 164).

  • "Business Associate" means Alcott, Inc.

  • "Covered Entity" means the healthcare provider using Alcott's services

  • "PHI" means Protected Health Information as defined by HIPAA

2. Obligations of Business Associate

Alcott agrees to:

2.1 Use and Disclosure 

  • Use and disclose PHI only as permitted by this BAA or as required by law

  • Not use or disclose PHI in a manner that would violate HIPAA if done by Covered Entity

 

2.2 Safeguards

  • Implement administrative, physical, and technical safeguards to protect PHI

  • Maintain encryption of PHI in transit and at rest

  • Implement access controls and audit logging

2.3 Reporting

  • Report to Covered Entity any use or disclosure of PHI not permitted by this BAA

  • Report any Security Incident or Breach of Unsecured PHI within 60 days of discovery

​

2.4 Subcontractors

  • Ensure any subcontractors that access PHI agree to the same restrictions and conditions

​

2.5 Access

  • Make PHI available to Covered Entity as necessary to satisfy Covered Entity's obligations under HIPAA

​

2.6 Amendment

  • Make PHI available for amendment and incorporate amendments as directed by Covered Entity

​

2.7 Accounting

  • Make information available for an accounting of disclosures as required by HIPAA

​

2.8 Compliance

  • Make internal practices, books, and records relating to PHI available to HHS for compliance purposes

​

3. Permitted Uses and Disclosures

Alcott may use and disclose PHI:

  • To perform services under the Terms of Service

  • For Alcott's proper management and administration if required by law or with reasonable assurances from the recipient

  • To provide data aggregation services relating to the healthcare operations of Covered Entity

  • To de-identify PHI in accordance with 45 CFR 164.514

4. Obligations of Covered Entity

Covered Entity agrees to:

  • Notify Alcott of any limitations in its Notice of Privacy Practices that affect Alcott's use of PHI

  • Notify Alcott of any restrictions on use or disclosure of PHI that Covered Entity has agreed to

  • Not request Alcott to use or disclose PHI in any manner that would not be permissible under HIPAA

5. Term and Termination

5.1 Term

​This BAA is effective when you create a provider account and continues until terminated.

 

5.2 Termination

Either party may terminate this BAA with 30 days' written notice. Alcott may terminate immediately if Covered Entity materially breaches this BAA. Termination of this BAA terminates access to the Services; refunds are governed by the Terms of Service.

5.3 Effect of Termination

Upon termination, Alcott will return or destroy all PHI within 30 days, if feasible. If not feasible, Alcott will extend protections of this BAA to such PHI and limit further uses and disclosures.

Authenticated Patient Accounts: PHI in authenticated patient accounts is owned by the patient, not the Covered Entity. Provider termination removes Covered Entity's access to patient data via the Alcott platform but does not require deletion of authenticated patient accounts. Patients control retention of their own accounts per Alcott's Privacy Policy.​

6. Miscellaneous

6.1 Regulatory References

References to HIPAA include all amendments and regulations.

 

6.2 Amendment

This BAA may be amended by Alcott with 30 days' notice to comply with HIPAA requirements.

​

6.3 Survival

Obligations to protect PHI survive termination.

​

6.4  Interpretation

Any ambiguity shall be resolved to permit compliance with HIPAA.​​

By creating a provider account on Alcott, you agree to this Business Associate Agreement.
